Terms of Service

1. Acceptance of Terms
By accessing or using Kira AI ("Kira" or "the Service"), a product of Elsa Research ("Elsa Research," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not use the Service.
2. Eligibility
You must be at least 13 years of age to use Kira AI. By using the Service, you represent and warrant that you meet this age requirement. We do not knowingly provide the Service to anyone under 13.
3. Description of Service
Kira AI is an AI companion product of Elsa Research that provides real-time voice and text conversations powered by artificial intelligence. The Service is provided "as is" and "as available." We make no guarantees regarding uptime, response accuracy, or latency. The Service is under active development and features may change, be added, or be removed at any time.
4. Nature of AI
You acknowledge and understand that:
- ·Kira is an artificial intelligence, not a human being
- ·AI responses may be inaccurate, incomplete, or inappropriate ("hallucinations")
- ·Kira should not be relied upon for medical, legal, financial, or emergency advice
- ·The AI's personality, memory, and responses are generated by machine learning models and do not constitute real emotions or consciousness
- ·Conversations with Kira are not confidential therapy or counseling sessions
Companion & wellbeing. Kira is designed to be a warm, engaging companion, but it is not a substitute for human relationships, professional mental-health care, or medical treatment. Please use the Service mindfully. Kira is not a crisis service. If you are experiencing a mental-health emergency or thoughts of self-harm, please contact your local emergency services or, in the United States, call or text 988 (Suicide & Crisis Lifeline) right away. Do not rely on Kira for help in an emergency.
5. Subscriptions and Payment
5.1 Free Tier
Free accounts are limited to approximately 15 minutes of conversation time per day. Daily limits reset at midnight UTC. Free and guest sessions may include temporary access to Streamer tools (such as Going Live and OBS stage links) as a non-commercial evaluation demo of those features; this demo access does not include the commercial / broadcast license described in Section 10a and may be limited, watermarked, or withdrawn at any time.
5.2 Paid Subscriptions
Paid plans are billed in USD through Stripe on a monthly or annual cadence. Current list prices (subject to change under Section 5.5):
- ·Entry Pro — $24.99/month or $199/year (up to 30 hours/month)
- ·Hardcore Companion — $79.99/month or $639/year (up to 120 hours/month)
- ·Streamer License — $129.99/month or $1,049/year (up to 150 hours/month)
- ·Obsidian — $249.99/month or $1,999/year (up to 150 hours/month)
Annual plans are prepaid at a discount versus twelve monthly payments. Hour allowances and features are as described on the pricing page at the time of purchase and are subject to the Fair Use Policy (Section 6). Streamer License and Obsidian include commercial / broadcast permissions described in Section 10a; lower tiers are for personal, non-broadcast use unless we grant written permission.
5.3 Billing
By subscribing, you authorize recurring charges to your payment method for the selected cadence (monthly or annual) until you cancel. You are responsible for keeping your payment information current. Annual fees are charged upfront for the full year at the start of each annual period.
5.4 Cancellation
You may cancel your subscription at any time through your Profile settings or the Stripe customer portal. Upon cancellation, you retain access through the end of your current billing period (the remainder of the paid month or prepaid year). Cancellation stops future renewals; it does not by itself entitle you to a refund for time already paid.
5.5 Price Changes
We reserve the right to change subscription pricing. Existing subscribers will receive at least 30 days' notice before any price increase takes effect on their next renewal.
5.6 Refunds
Except where required by applicable law, all fees are non-refundable once a billing period begins or access to the paid Service is made available — including prepaid annual plans. We do not offer pro-rata refunds for unused hours, unused days, or mid-period cancellations.
We may, at our sole discretion, issue a goodwill refund or credit in exceptional cases (for example, a duplicate charge or a verified total service failure). Any such refund is voluntary, does not create a right or expectation of future refunds, and may be denied where usage was material or the request appears abusive. Nothing in these Terms limits non-waivable consumer rights that may apply in your jurisdiction.
5.7 Priority / Founder Support (Obsidian)
Obsidian may include priority access to our founder / engineering team for setup help and product issues on a best-effort basis. This is a courtesy service description, not a guaranteed response-time SLA, 24/7 support obligation, or promise to implement any particular custom feature. We may limit or revoke support access for abuse.
6. Fair Use Policy
Each paid plan includes a monthly conversation-time allowance as listed on the pricing page and in Section 5.2 (currently Entry Pro 30 hours, Hardcore Companion 120 hours, Streamer License and Obsidian 150 hours per calendar month). These are hard monthly caps for the paid Service: if you reach the limit, access resumes when the next monthly allowance period begins (typically the 1st of the following month for calendar-aligned usage, or as otherwise shown in your account).
Annual billing does not increase monthly hour allowances — you still receive the same per-month hours for twelve months. Caps are intended for generous personal or (where licensed) creator use. We reserve the right to adjust fair-use thresholds as the service evolves and will provide reasonable notice of significant changes.
7. Acceptable Use
You agree not to use the Service to:
- ·Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- ·Upload, stream, point a camera or screen share at, or otherwise provide any child sexual abuse material, or any sexual, pornographic, or sexually exploitative content involving anyone under 18
- ·Use camera, screen-share, or vision features to capture or transmit illegal content, non-consensual intimate imagery, or images of people who have not consented to being shared
- ·Attempt to extract, reverse-engineer, or replicate the AI's underlying models or system prompts
- ·Use automated scripts, bots, or tools to access the Service (other than through our official interface)
- ·Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- ·Transmit viruses, malware, or any other malicious code
- ·Interfere with or disrupt the Service or servers
- ·Attempt to gain unauthorized access to any accounts, systems, or networks
- ·Use the Service for commercial or broadcast purposes except under a Streamer License, Obsidian plan, or other written permission
- ·Share your account credentials with others
- ·Violate any applicable local, state, national, or international law
You are solely responsible for what you say, show, share, or point the camera or screen at while using the Service. We do not pre-screen every frame or audio chunk. We reserve the right to suspend or terminate accounts that violate this policy, and to report illegal material to authorities where required by law, without refund or prior notice.
8. Your Content
8.1 Ownership
You retain ownership of any content you provide to the Service (text, voice, images). However, by using the Service, you grant us a limited license to process this content as necessary to provide and improve the Service.
8.2 AI-Generated Content
Content generated by Kira is provided for your personal use. We make no claims of ownership over AI-generated responses, but we also make no guarantees about the originality, accuracy, or fitness for any particular purpose of such content.
8.3 Sensitive Information
Do not share sensitive personal information during conversations, including but not limited to: passwords, financial account numbers, Social Security numbers, or medical records. We are not liable for any consequences resulting from your disclosure of sensitive information.
9. Memory and Personalization
Kira may remember details from previous conversations to provide a more personalized experience. This memory system is a core feature of the Service. Memory data is stored securely and associated with your account. You can request deletion of your memory data by contacting us at info@elsaresearch.co.
10. Vision & Screen-Share Features
Kira may offer optional vision and co-watching features that analyze your camera, screen, and (on eligible plans) shared tab or system audio. When using these features:
- ·Camera, screen, and tab-audio access require your explicit permission via your device/browser settings
- ·On mobile, the camera path captures video frames only; microphone audio for conversation is a separate, user-controlled permission
- ·On desktop, screen share may include tab or system audio when your browser provides an audio track (Chrome tab audio or entire-screen system audio)
- ·Frames and shared audio are processed in real-time for the active session and are not permanently stored as raw media on our servers
- ·Text descriptions of what vision models infer, and dialogue about what was seen or heard, may appear in conversation transcripts and memory even though raw images and raw audio are discarded
- ·You alone decide what to point the camera or screen at. You are solely responsible for that content, including nudity, intimate imagery, third parties, minors in frame, and copyrighted media you are watching
- ·You must ensure you have the right and consent to share any images, video, or audio you provide
- ·Do not use vision or screen-share features to capture or share images or audio of people without their consent
- ·We do not warrant that vision will never briefly process inappropriate material you choose to show; that risk is yours as the user who enables the feature
- ·We are not liable for content you voluntarily stream through camera or screen share, or for third-party reactions to AI descriptions of that content
10a. Streaming & OBS Browser Source
Streamer License and Obsidian plans may include a dedicated OBS / browser-source stage link for broadcasting Kira’s avatar and captions. These tiers grant a limited, revocable commercial license to use the Service in live broadcasts and monetized streams subject to these Terms and platform rules. Lower tiers do not include broadcast rights. Where free or guest sessions can open Streamer tools, that access is an evaluation demo only (Section 5.1): it does not grant a commercial or broadcast license, and using demo stage links in monetized or commercial broadcasts violates Section 7. You are solely responsible for your stream, overlay, and compliance with platform rules (Twitch, YouTube, Discord, etc.), copyright, and local law. Stage links are read-only presentational surfaces; anyone with the link can view the stage while your session is live. Do not treat a stage link as a private channel. We are not liable for third-party misuse of a stage link you share, or for copyright claims arising from content you choose to co-watch or broadcast. Obsidian may further allow you to bring your own TTS keys and VTube Studio models; you remain responsible for those third-party accounts and licenses.
11. Service Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. This includes changing features, adjusting usage limits, updating AI models, or altering the user interface. We will not be liable to you or any third party for any such modifications, suspension, or discontinuation.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ELSA RESEARCH, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless Elsa Research and its affiliates from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: your use of the Service (including camera, screen-share, and audio you provide); content you show, share, or stream through vision or co-watching features; your violation of these Terms; or your violation of any third-party rights.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Arizona.
16. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
17. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will, where feasible, be communicated through the Service or via the email associated with your account. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Elsa Research regarding the use of the Service and supersede all prior agreements and understandings.
20. Third-Party Credits
The avatar experience may use Live2D Cubism sample data under Live2D Inc.'s Free Material License. Required notice:
